By submitting a request for a product demonstration, you agree to these terms and conditions. Please read carefully before proceeding.

1. Offer Overview

Lumana, Inc., a Delaware corporation with registered offices at 20. S. Santa Cruz Ave, Suite 204B, Los Gatos, California 95030 ("Lumana," "we," "us," or "our") is offering a promotional item to qualified business prospects who schedule and complete a demonstration of Lumana's AI-powered video security platform (the "Demo Offer" or "Offer"). This Offer is void where prohibited by law or applicable internal compliance, ethics, or gift-acceptance policies of the participant’s employer. No purchase is required, and participation does not obligate you to buy Lumana products or services.

2. Eligibility Requirements

To be eligible for this Offer, you and your Business (as defined below) must meet ALL of the following requirements:

• You must represent a business, organization, or institution (a "Business") with a legitimate need for video security solutions;
• Your Business must have a minimum of 10 employees or currently operate video surveillance infrastructure;
• Your Business must be a first time Lumana prospect who is not a current customer and has not previously received a Lumana demo promotion;
• Your Business must be located in the United States or Canada;
• You must be at least 18 years of age;

• You must be a decision-maker, influencer, or stakeholder involved in security technology purchasing decisions for your Business (acceptable roles include: Owner, C-Level Executive, VP, Director, Manager, Security Professional, IT Professional, or Facilities Manager);
• You must provide accurate, current, and verifiable business contact information, including a valid business email address (no free email domains) and phone number; and
• You must schedule and fully attend a live, interactive video-based demo of at least 30 minutes, actively participate, and appear on camera for at least part of the demo.

Students, consultants, and individuals seeking information for personal use are not eligible.

3. Limitations and Restrictions

This Offer is limited to one (1) promotional item per Business, regardless of the number of employees or locations. Multiple employees from the same Business may not claim separate gifts. Each individual may only receive one (1) promotional item under this Offer, even if they represent multiple businesses or change employers. Promotional items are non-transferable and may not be resold, bartered, or exchanged for cash.

4. Verification and Approval Process

Lumana may verify eligibility at any time and may disqualify any participant who fails to meet the requirements, provides inaccurate or misleading information, fails to meaningfully participate, acts abusively, or appears to participate primarily to obtain the promotional item. Lumana’s eligibility determinations are final.

5. Promotional Item Delivery and Redemption

Promotional items will be delivered via email to the address provided within five (5) to seven (7) business days following successful completion of the demonstration and verification of eligibility. Lumana is not responsible for lost, stolen, damaged, or compromised promotional items after delivery. Promotional items can take up to 30 days to be delivered and are subject to inventory fluctuations.

6. Privacy and Data Usage

6.1 Information Collection

By participating in this Offer, you acknowledge that Lumana will collect, store, and process your personal and business information, including: name, email address, phone number, job title; company name, size, industry, location; information about your current security infrastructure and needs; and demonstration attendance and participation data.

6.2 Marketing Communications

By submitting a demo request, you consent to receive marketing communications from Lumana, including: email communications about Lumana products and services; phone calls from Lumana sales representatives; and follow-up interactions regarding your demonstration and potential business relationship. You may opt out of marketing communications at any time by following the unsubscribe instructions in our emails or by contacting us directly.

6.3 Privacy Policy

Our collection and use of personal information are governed by Lumana's Privacy Policy, available at lumana.ai/privacy.

7. Taxes and Reporting

You are solely responsible for any federal, state, or local taxes associated with receipt of the promotional item. Lumana makes no representations regarding the tax implications of this Offer. For U.S. participants, if you receive $600 or more in total value from Lumana in a calendar year, Lumana may be required to report this to the Internal Revenue Service via Form 1099-MISC. You may be required to provide taxpayer identification information.

8. Disclaimers and Limitations of Liability

9.1 No Warranty

Promotional items are provided "as is" without warranty of any kind, express or implied. Lumana makes no representations regarding the value, usability, or functionality of promotional items.

9.2 Third-Party Terms

Lumana is not affiliated with and is not responsible for these third-party policies, practices, or any issues related to promotional items, or use.

9.3 Limitation of Liability

To the fullest extent permitted by law, Lumana shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to this Offer. Lumana's total liability under this Offer shall not exceed the value of the promotional item.

10. General Provisions

Lumana reserves the right to modify, suspend, or terminate this Offer at any time without prior notice. Changes to these terms will be effective immediately upon posting to Lumana's website. Lumana may terminate this Offer early if: fraud or abuse is detected; technical or operational issues arise; and business circumstances require termination. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These terms and conditions constitute the entire agreement between you and Lumana regarding this Offer and supersede any prior agreements or understandings. Lumana's failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision. You may not assign or transfer your rights under this Offer. Lumana may assign its rights and obligations without restriction. The Offer and any dispute, claim, or controversy arising out of or relating to this Offer, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. The parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any such dispute.
